1. Overview & Legal Agreement
These Terms of Service ("Terms") constitute a legally binding agreement between ClickBreeze ("Agency", "we", "us", "our") and any individual, business, or entity accessing this website or entering into a commercial marketing service agreement with us ("Client", "you", "your").
ClickBreeze operates as a specialised digital marketing agency based at 45/5 Erskine Street, Dundee, Scotland, DD4 6RJ. By accessing our website (clickbreeze.co.uk), booking a strategy call, or signing a Statement of Work (SOW), you confirm that you have read, understood, and agree to be bound by these Terms.
2. Scope of Professional Services
ClickBreeze delivers full-spectrum digital marketing, search engine, and performance advertising services across Scotland and the wider United Kingdom, including:
- Search Engine Optimisation (SEO): Technical site audits, architecture optimisation, Ecommerce SEO, Shopify SEO, on-page optimization, content strategy, and schema markup integration.
- Answer Engine Optimisation (AEO) & Generative Engine Optimisation (GEO): Optimization for AI answer engines including Google AI Overviews, SearchGPT, Perplexity AI, Claude, and Gemini citations.
- Pay-Per-Click (PPC) Management: Strategic management of Google Ads (Search, Shopping, Performance Max, Display), Meta Ads (Facebook & Instagram), and conversational AI advertising (ChatGPT Ads).
- Digital PR & Editorial Link Building: Ethical, editorial outreach and high-tier digital publication placements to build authoritative backlink equity.
- Conversion Rate Optimisation (CRO) & Analytics: Conversion funnel analysis, user journey tracking, Google Analytics 4 (GA4) configuration, and server-side tracking setups.
Specific project milestones, deliverables, retainer tiers, key performance indicators (KPIs), and fees are formalized in individualized Statements of Work (SOWs) or Client Service Agreements.
3. Client Responsibilities & Platform Access
High-performance digital marketing requires collaborative execution. To ensure campaign momentum and timely deliverable completion, the Client agrees to:
- Provide Timely Access: Grant standard administrative or delegated access to required platforms (e.g. Google Analytics 4, Google Search Console, Google Tag Manager, CMS admin, Shopify/WordPress backend, and advertising accounts).
- Review & Approvals: Review technical specifications, content drafts, and creative assets within five (5) business days of submission to prevent campaign delivery bottlenecks.
- Material Legitimacy: Ensure all brand logos, photography, product claims, trade descriptions, and proprietary information supplied to ClickBreeze are accurate, legally compliant, and do not infringe on any third-party intellectual property rights.
4. 100% Client Ownership & Intellectual Property
We believe in total transparency. ClickBreeze maintains an unequivocal stance regarding intellectual property and digital asset ownership:
- 100% Client Account Ownership: The Client retains full, unfettered ownership of all ad accounts (Google Ads, Meta Ads Manager, TikTok), Google Analytics 4 properties, Search Console properties, domain names, customer lists, and pixel data. ClickBreeze will never hold client ad accounts or analytics data hostage.
- Deliverables Ownership: Upon receipt of full payment for the applicable invoice, all bespoke written content, custom keyword strategies, landing page designs, and technical code developed specifically for the Client become the exclusive property of the Client.
- Agency Intellectual Property: ClickBreeze retains all proprietary rights, copyright, and title to our pre-existing internal frameworks, automated auditing scripts, proprietary benchmarking databases, and internal agency workflows.
5. AI Search Technologies, Guidelines & Algorithmic Disclosure
As an agency at the forefront of Answer Engine Optimisation (AEO) and Generative Engine Optimisation (GEO), we maintain the highest standards of technical integrity and search ethics:
- Compliance with Search Essentials: All strategies adhere strictly to Google Search Essentials, Bing Webmaster Guidelines, and established industry web standards.
- Ethical Optimization Principles: We strictly prohibit deceptive cloaking, manipulative prompt injections, automated low-quality AI content spam, and fabricated citation sourcing. Our optimization builds genuine topical authority and entity clarity.
- Autonomous Algorithmic Disclaimers: Search engines (e.g. Google, Bing) and Large Language Model providers (e.g. OpenAI, Anthropic, Perplexity) operate proprietary algorithms that update continuously and autonomously. While we apply proven data-backed methodologies, no ethical agency can or will guarantee static #1 rankings or specific conversational answer inclusion.
6. Invoicing, Payments, Deposits & Ad Spend
Our commercial terms are structured to be clear, predictable, and fair:
- Monthly Retainers: Invoiced in advance on the 1st of each calendar month, payable within fourteen (14) calendar days of invoice issuance.
- One-Off Projects & Audits: Require a 50% initial commitment deposit prior to project kickoff, with the remaining 50% balance payable upon delivery of the final audit documentation.
- Direct Advertising Spend: All media advertising spend (PPC budgets paid to Google Ads, Meta Ads, etc.) is billed directly by the ad network to the Client's registered credit card or corporate billing profile. ClickBreeze never marks up third-party ad spend without explicit agreement.
- Late Payment Statutory Interest: Accounts overdue past thirty (30) days may incur statutory interest and compensation under the Late Payment of Commercial Debts (Interest) Act 1998.
7. Cancellation, Rolling Retainers & Notice Periods
We do not lock clients into restrictive multi-year contracts:
- Initial 90-Day Sprint: Retainer engagements begin with an initial 90-day sprint to allow technical implementation, indexing cycles, and algorithmic momentum to take effect.
- Rolling 30-Day Notice: Following the initial 90-day onboarding period, all monthly retainers transition to a flexible, rolling monthly agreement. Either party may terminate the engagement by providing thirty (30) calendar days' written notice via email to contact@clickbreeze.co.uk.
- Seamless Transition: Upon conclusion of the notice period and settlement of final accounts, ClickBreeze smoothly removes agency access credentials while leaving all client accounts, historical campaign data, and technical assets fully operational in the Client's control.
8. Confidentiality, Data Protection & UK GDPR
We treat client data with utmost confidentiality and statutory care:
- Non-Disclosure Commitment: ClickBreeze treats all non-public commercial data, proprietary methodologies, revenue figures, customer lists, and conversion analytics shared by the Client as strictly confidential.
- UK GDPR & DPA 2018: ClickBreeze complies fully with the UK General Data Protection Regulation (UK GDPR) and the Data Protection Act 2018. Where we process personal data in connection with services (such as lead form inquiries), we act strictly in accordance with our Privacy Policy.
- Security Standards: We maintain administrative, physical, and technical safeguards (including multi-factor authentication and encrypted credentials) to protect shared platform credentials.
9. Website Acceptable Use & Automated Crawling Policy
When accessing or using clickbreeze.co.uk:
- Permitted Crawling & Indexing: Verified search engines (Googlebot, Bingbot), AI search citation agents (OAI-SearchBot, PerplexityBot, ClaudeBot, Google-Extended), and accessibility crawlers are welcome to index public content in full compliance with our robots.txt policy and llms.txt guidelines.
- Prohibited Activities: Users and automated bots must not attempt unauthorized access to our administrative portal (/admin), execute denial-of-service (DoS) attacks, scrape case studies for commercial reselling, or probe security configurations without prior written consent.
10. Performance Warranties & Professional Standards
ClickBreeze warrants that all services will be performed with reasonable skill, diligence, and professional care consistent with recognised UK digital marketing best practices.
Because search engines, advertising auctions, and AI knowledge graphs are governed by external third parties, ClickBreeze expressly disclaims any warranties regarding specific organic ranking positions, cost-per-click fluctuations dictated by advertising auctions, or third-party platform algorithm updates outside our reasonable control.
11. Limitation of Liability
To the maximum extent permitted by applicable Scots law:
- Liability Cap: The total aggregate liability of ClickBreeze arising out of or related to any service agreement, whether in contract, delict (including negligence), or otherwise, shall be strictly capped at the total management fees paid by the Client to ClickBreeze in the three (3) months immediately preceding the event giving rise to the claim.
- Consequential Loss Exclusion: Neither party shall be liable to the other for any indirect, special, incidental, or consequential damages, including loss of anticipated profit, loss of revenue, commercial disruption, or loss of goodwill.
- Statutory Exclusions: Nothing in these Terms limits or excludes liability for fraud, fraudulent misrepresentation, death, or personal injury caused by negligence, or any other liability that cannot be excluded under Scots law.
12. Dispute Resolution & Scots Law Jurisdiction
These Terms, and any dispute or claim (including non-contractual disputes) arising out of or in connection with them, shall be governed by and construed in accordance with the laws of Scotland.
The parties agree that in the event of any disagreement, they will first engage in good-faith informal consultation for at least thirty (30) days. If unresolved, the Scottish Courts shall have exclusive jurisdiction to settle any dispute.
